General Terms and Conditions of M&A Media Services GmbH (“MAMS” / mandaco)

1. Scope
(1) These General Terms and Conditions (“GTC”) apply to all contracts between M&A Media Services GmbH, Habenschadenstraße 16, 82049 Pullach, Germany (“MAMS”) and its customers/participants (“Participant” or “Customer”) regarding participation in in-person and online events, in particular the networking events organised by MAMS in cooperation with Fintalent Limited (“Fintalent”) as co-organiser (the “Events”).
(2) The contract for participation is concluded with MAMS. Fintalent acts as co-organiser; the parties’ respective responsibilities for the processing of personal data are set out in a separate Joint Controllership Agreement pursuant to Article 26 GDPR and the applicable data protection notice.
(3) Deviating, conflicting or supplementary terms and conditions of the Customer shall only become part of the contract if and to the extent that MAMS has expressly agreed to their application in text form.
2. Registration and conclusion of contract
(1) Registration for an Event may only be submitted via the registration procedure provided for the respective Event. The presentation of the registration procedure does not constitute a binding offer by MAMS, but an invitation to the Participant to submit an offer.
(2) By clicking the button [register / book subject to payment], the Participant submits a binding offer for the Event listed on the respective registration page. The contract is concluded when MAMS accepts the registration by a confirmation of registration sent by e-mail. An automated acknowledgement of receipt does not constitute acceptance of the offer.
(3) By registering, the Participant accepts these GTC as binding.
(4) Where MAMS offers the possibility to make use of accommodation or travel options with third parties (at possibly reduced rates) in connection with an in-person Event, this is a non-binding recommendation and not part of the services owed. Reservations must be made by the Participants themselves.
3. Scope of services
(1) The nature and scope of the contractual services result from the respective service description (in particular the event description, product page or offer).
(2) MAMS is entitled to adapt services where this is necessary for objective reasons and reasonable for the Customer. This applies in particular to changes of speakers, contents, sequences, event formats or technical framework conditions.
4. Obligations of the Participant at in-person / online Events
(1) The Participant of an in-person Event is obliged to comply with the rules established by MAMS for the respective Event, in particular the house rules and any hygiene and safety provisions. MAMS provides the Participants with the necessary information before the start of the respective Event.
(2) In the event of breaches of these obligations, MAMS is entitled to exclude the Participant from the Event. In this case there is no claim to a refund of the participation fee.
(3) In the event of non-attendance or a cancellation that is not made in due time, the full participation fee is payable and no refund is possible. If MAMS finds a replacement for a cancellation not made in due time, e.g. via a waiting list, the Participant is refunded the participation fee already paid less any expenses incurred by MAMS in preparation of the service.
(4) Cancellations by the Participant must be made in text form (post or e-mail) to be effective. The cancellation period is governed by the arrangement applicable to the respective Event.
(5) A participation entitlement may at any time be transferred to a replacement participant to be named in writing by the Participant. Rebookings (to another Event) are treated as cancellations.
(6) Online Events are carried out using the systems specified for the respective Event. Information on the system used is provided either in the event description or in the confirmation e-mail.
(7) At online Events, the Participant undertakes not to upload any malware or similar.
(8) The resale of tickets or admission entitlements, whether for private or commercial purposes, is prohibited.
5. Changes to or cancellation of Events
(1) MAMS is entitled, for good cause, to change Events with regard to the venue, the agenda, the schedule and timing, or the line-up of speakers and contributors. MAMS will inform the Participant of material changes without undue delay.
(2) In the event of a change of venue and/or a postponement of an Event, Participants are entitled to cancel their participation within one week of receipt of the notification. In this case the Participant is refunded the participation fee already paid.
(3) In the event of cancellation, the Participant receives the corresponding information without undue delay and, within 14 days, a refund of any participation fee already paid. Any assumption of costs by MAMS incurred by the Participant due to potential expenses, e.g. travel and hotel costs, or due to loss of working time, is excluded.
(4) MAMS is entitled to cancel Events due to impracticability caused by force majeure, short-term unavailability of a venue or a lack of a cost-covering number of participants. Force majeure is deemed to exist where MAMS is prevented from rendering the service by an external event beyond its control that could not have been foreseen or averted with reasonable care and economically acceptable means, e.g. natural disasters, political crises (such as war), terrorist acts, strikes, epidemics, pandemics and comparable situations. If MAMS has to shorten or cancel an Event that has already begun due to force majeure, the Participant has no claim to a refund of the participation fee already paid.
6. Prices and payment
(1) All prices for an Event stated on the event website are net prices, i.e. excluding the applicable statutory value added tax. The prices stated at the time of registration for the respective Event are decisive.
(2) The participation fee is due for payment immediately upon receipt of the invoice, without deduction, to the invoicing party stated on the invoice. The available payment methods are communicated on the website. Payment is generally processed via the payment service provider Stripe Payments Europe Ltd., 1 Grand Canal Street Lower, Grand Canal Dock, Dublin, Ireland. (3) If, due to short-term registration, the invoice is issued only after or during the Event, participation is nevertheless possible.
7. Liability
(1) MAMS is not liable for damages. Excepted from this are claims for damages by the Participant arising from injury to life, body or health, or from the breach of essential contractual obligations (cardinal obligations), as well as liability for other damages based on an intentional or grossly negligent breach of duty by MAMS, its legal representatives or vicarious agents. Essential contractual obligations are those whose fulfilment makes the proper performance of the contract possible in the first place and on whose compliance the Participant may regularly rely. In the case of a breach of essential contractual obligations, MAMS is liable only for the foreseeable damage typical for the contract where such damage was caused by simple negligence. For simple negligence, the liability of MAMS is limited to EUR 25,000.00 per event of damage.
(2) The limitations of paragraph 1 also apply in favour of the legal representatives and vicarious agents of MAMS where claims are asserted directly against them.
(3) The limitations of liability under paragraphs 1 and 2 do not apply in the case of malice, in the case of mandatory statutory strict liability, or liability under a guarantee assumed without fault.
(4) The Participant is liable for all damage caused by the Participant, its legal representatives or vicarious agents to the facilities and objects of the venue, of MAMS or of other third parties. The same applies to the use or deployment of malware or similar.
(5) Any other claims for damages by the Participant are excluded. The provisions of the German Product Liability Act (Produkthaftungsgesetz) remain unaffected.
8. Rights of use / recordings
(1) In the course of carrying out Events, MAMS or third parties commissioned by MAMS make audio and video recordings of the event. These recordings are used and published by MAMS for press, information and documentation purposes. Where required in individual cases, consent for the recording and publication is obtained. Information on recordings is made available by MAMS during the registration process, in the confirmation of registration or, at in-person Events, at the Event itself. Participants are free to remain in areas not covered by recordings and, at online Events, to avoid the recording of audio and video by using the technical measures provided.
(2) Participants grant MAMS, free of charge, the non-exclusive and transferable right to use the contributions made and the work results created at the Event (e.g. recommendations, guidelines). This grant is unlimited in time and territory, irrevocable and applies in any technical form and for all known types of use, waiving the assertion of moral rights.
(3) Documents accompanying the Event and provided by MAMS are protected by copyright. Participants are granted a simple, non-transferable right of use for personal purposes only. Any reproduction, distribution, storage, making available to the public or reproduction of the content beyond this, as well as the removal of technical protection measures or copyright notices, is prohibited unless MAMS expressly permits otherwise in writing.
9. Data protection
(1) MAMS and Fintalent process the personal data of Participants provided to them for the establishment, performance and termination of the participation in the Events, in compliance with applicable European and national data protection law.
(2) The Events are carried out under the joint controllership of MAMS and Fintalent Limited pursuant to Article 26 GDPR. Details of the processing and of your rights are set out in the applicable data protection notice for the Events. Where MAMS uses processors to fulfil its tasks, these are contractually bound in accordance with applicable data protection law (Article 28 GDPR).
10. Right of withdrawal for consumers
(1) Consumers have a statutory right of withdrawal.
(2) The withdrawal period is fourteen days from the conclusion of the contract.
(3) To exercise the right of withdrawal, a clear statement to MAMS (e.g. by e-mail to hello@manda.co) is sufficient.
(4) In the event of withdrawal, payments already made are refunded in accordance with the statutory provisions; in no case will you be charged fees for such a refund. If you have requested that the services begin during the withdrawal period, you must pay a reasonable amount corresponding to the proportion of the services already provided up to the point at which you inform us of the exercise of the right of withdrawal, compared to the total scope of the services provided for in the contract.
11. Final provisions
(1) The GTC in force at the time of conclusion of the contract apply.
(2) These GTC and the contractual relationships concluded on their basis between MAMS and the Participants are governed by the law of the Federal Republic of Germany, excluding the international uniform law, in particular the UN Convention on Contracts for the International Sale of Goods.
(3) The exclusive place of jurisdiction is, to the extent legally permissible, Munich, Germany, unless an exclusive statutory place of jurisdiction exists.
(4) Should individual provisions of these GTC be or become invalid or unenforceable in whole or in part, the validity of the remaining provisions remains unaffected. In place of the invalid provision, the valid provision that comes closest to the economic purpose of the invalid provision shall apply. The same applies in the event of a gap.
